Tender of Performance Indian Contract Act

...PERFORMANCE OF CONTRACTS Definition of TENDER OF PERFORMANCE with respect to contract law is that, "It is an offer or attempt to do what is required under a contract or under the law." or "An offer to perform an obligation in satisfaction of the terms of a contract is called tender of performance." Let us define a 'tender' and 'performance' first. Tender means , "An offer to carry out work, supply goods, or buy land, shares, or another asset at a stated fixed price." To 'perform' means to carry out, or to accomplish, or to fulfill a specified task or action or function. Therefore it can be said that, tender of performance means to carry out certain work which one had offered to do. A tender may be of money or of specific articles; these will be separately considered. Of the lender of money. To make a valid tender the following requisites are necessary: 1) It must be made by a person capable of paying - for if it be made by a stranger without the consent of the debtor, it will be insufficient. 2) It must be made to the creditor having capacity to receive it, or to his authorized agent. The condition on which the debt was contracted must be fulfilled. The tender must be made at the place agreed upon for the payment, or, if there be no place appointed for that purpose, then to the creditor or his authorized agent. When a tender has been properly made, it is a complete defense to the action but the benefit of a tender is lost, if the creditor afterwards demand...

Fancy Feast’s New Flavor for Snakes: Tender Kitten Feast in Grilled Chicken Flavored Gravy

...Sashay Schettler Mr. R English 120 12 September 2013 Fancy Feast’s New Flavor for Snakes: Tender Kitten Feast in Grilled Chicken Flavored Gravy We tend not to drive too deeply into subjects that pit our brains against our hearts, animal human relationships being one. While easy to overlook, these relationships play a big part in our day to day lives, and as I’ve learned not always in a good way. I found out firsthand, while reading Hal Herzog’s Some We love, Some We hate, Some We Eat: Why It’s So Hard to Think Straight About Animals, how hard it is to see a subject in a new light. I found myself torn between what I thought of as morally right and logically correct. The major argument being, is it morally ok to feed unwanted kittens to snakes? As I write this paper, I periodically glance at the picture I have of my fluffy grey cat Henry. Henry passed away when he had to be relocated to my aunt’s ranch, our house flooded in 2009 and our new condo didn’t allow pets. Now Henry had a cozy life with the Schettlers and on the ranch. Yet my aunt claims to this day, that he died of a broken heart. I, however sweet and sentimental the thought, argue that he died because my mom accidentally let him go a couple of turns in the dryer… Henry was always a fighter; I rescued him from the woods, out of a litter of two kittens he was the only survivor. His mother and sister did not make it out of the woods, but Henry wasn’t giving up that easily. After the tragic......

Business Model and Stretgic Plan-Part I

...(Milligan, & Smith, 2011). Tender Childcare is no different than any other business that needs innovation to prosper in the markets of today. This essay will give information concerning Tender’s vision, mission, and values and how each component is used to facilitate the day-to-day actions of Tender Childcare. The mission and vision statements serve as directions for a business, providing the blueprint for operations and keeping the organization focused on its goals. “These statements serve a dual purpose by helping employees to remain focused on the tasks at hand, as well as encouraging them to find innovative ways of moving towards an increasingly productive achievement of company goals” (Investopedia, 2015). The mission, vision, and value statements also serve as directives that detail what services or goods a company offers to its customers. The competitive advantage, prosperity, and seamless operation of an organization is guided by the mission, vision, and value statements, so creating, spreading, and adhering to these statements is imperative for Tender Childcare. Business Description with Mission Statement The strategy of Tender Childcare is to provide a 24-hour childcare service available to each employee of the National Security Agency (NSA). The employees of NSA work varying shifts and cannot readily tend to the needs of his or her children, causing scheduling conflicts, tardiness, and mounting fees from childcare companies. Tender serves employees’......

Oracle vs. Peoplesoft: a Hostile Tender Offer Analysis

...SAP and Siebel; however, as the ERP space began to see dramatically reduced growth, PeopleSoft’s sales began to lag. Company leaders saw the acquisition of smaller J.D Edwards as a way to bolster and expand its business into enterprise management and supply chain solutions. Although this acquisition would place PeopleSoft in a better position to compete with market leaders, it never got a chance to enjoy the hype and excitement. Oracle announced its tender offer takeover of PeopleSoft and Oracle CEO, Larry Ellison, further announced that that the company would discontinue PeopleSoft products once the merger was complete (although product support for existing customers would continue). PeopleSoft faced significant challenges. The true intention of Oracle was unknown, and a personal conflict between the PeopleSoft and Oracle CEOs added complexity into the issue. The unwelcome tender offer cast a cloud of doubt upon PeopleSoft’s future and required that the board seriously consider Ellison’s offer. Challenges of the Tender Offer Since Oracle announced that they would discontinue development of PeopleSoft products if the acquisition went through, PeopleSoft’s customers, both existing and potential, became concerned about the ability to maintain a relationship with the company. With its future in question, PeopleSoft’s sales leads were allegedly being put on hold or simply evaporating. How to shore up the confidence of customers and stabilize the sales, therefore,......
